Terms of Service

These Terms of Service govern your use of cadysoiutions.com and the CADY design-rule review service (the "Service") operated by CADY Ltd ("the Company"). By accessing or using the Service you agree to be bound by these Terms. Nothing in these Terms limits your statutory rights under the mandatory laws of your country of residence.

1. Agreement

These Terms form a binding agreement between you and CADY Ltd (Rothschild Boulevard 22, Tel Aviv 6789104, Israel). The Service is a software tool that analyses hardware schematics, netlists, and bills of materials against a library of design rules and returns an annotated violation report. These Terms apply to all tiers of the Service, including the Free tier.

2. Use of the Service

To use the Service you must be of legal age in your jurisdiction, or have verifiable parental or guardian consent. By using the Service you agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation;
  • Attempt to gain unauthorised access to any part of the Service, its infrastructure, or other users' accounts;
  • Interfere with or degrade the operation of the Service or its underlying systems;
  • Scrape, reverse-engineer, decompile, or copy the Service except to the extent expressly permitted by mandatory applicable law;
  • Upload files containing malware, viruses, or code designed to harm the Service or its users;
  • Use the Service to process design files you do not have the right to submit for analysis.

CADY is designed for professional hardware engineering use. The design-rule reports it produces are informational outputs; you remain responsible for verifying your designs before manufacture.

3. Intellectual Property

The Service, including its rule engine, rule library, web interface, documentation, and all related software, is owned by the Company or its licensors and is protected by Israeli and international intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose of running design-rule reviews on your own engineering files. No other rights are granted.

The "CADY" name, logo, and product identity are trademarks of the Company. You may not use them without our prior written consent.

4. Your Design Files

You retain ownership of all schematics, netlists, BOMs, and other engineering files you submit to the Service. By uploading files you grant the Company a limited licence to store, process, and analyse those files solely to provide you with the Service, including generating your design-rule report. This licence does not extend to training shared models or to any other use. Full details of how we handle your design files are set out in our Privacy Policy, Section 6.

You represent that you have all necessary rights to submit the files you upload, including any third-party intellectual property rights that may be embodied in them.

5. Disclaimers

The Service is provided on an "as is" and "as available" basis. CADY's design-rule reports are produced by an automated system and are intended to assist, not replace, professional engineering review. The Company does not warrant that the Service will detect every design defect or that any particular review output is complete or error-free.

To the maximum extent permitted by applicable law, the Company disclaims all representations and warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Mandatory consumer-protection warranties applicable under the laws of your country of residence are not affected.

6. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total aggregate liability for any claim arising from or relating to the Service will not exceed the greater of (a) the amounts you paid to the Company in the three months preceding the claim, or (b) USD 100. This limitation applies regardless of the legal theory on which the claim is based.

The Company will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunity, even if the Company has been advised of the possibility of such damages. Nothing in this clause limits liability for fraud, wilful misconduct, or liability that cannot be limited under mandatory law.

7. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, employees, and contractors from any claims, damages, losses, and costs (including reasonable legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) files you submit that infringe a third party's intellectual property or other rights; or (c) your violation of any applicable law.

8. Subscription, Payment, and Termination

Paid tiers (Pro, Team) are billed monthly or annually as selected at checkout. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are at the Company's discretion except where required by applicable consumer law.

The Company may suspend or terminate your access to the Service if you materially breach these Terms and do not remedy the breach within 7 days of written notice. You may cancel your account at any time through your account settings. Sections 3, 4, 5, 6, 7, and 9 survive termination.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law rules.

Any dispute arising out of or in connection with these Terms or the Service is subject to the non-exclusive jurisdiction of the competent courts located in Tel Aviv, Israel. This does not limit any mandatory dispute-resolution rights or consumer-protection rights you may have under the laws of your country of residence.

10. Changes and Contact

The Company may update these Terms from time to time. Material changes will be posted to this page with a revised "Last updated" date, and where appropriate, notified to registered users by email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
